Nevada business entity search and name check

Nevada's $75 LLC filing fee is misleading on its own: the initial list ($150) and the state business license ($200) are due at the same time, so forming an LLC costs about $425, and keeping it costs $350 a year. The Secretary of State's Commercial Recordings Division now keeps business records in the ORION business portal, which replaced SilverFlume. ORION runs a bot-protection check, so we link you to it rather than searching Nevada here.

What the Nevada search covers

ORION holds Nevada business entities filed under NRS Title 7, including LLCs (chapter 86) and corporations (chapter 78). Fictitious names (DBAs) are filed with county clerks, so they aren't in the Secretary of State's search (NRS 602.010).

Each record has a NV Business ID / Entity Number. Search by number on the ORION Business Portal.

How to read Nevada results

Nevada uses its own status labels. We always show the official wording; here is what the common ones mean according to the state:

StatusWhat it means
DefaultThe company didn't file its annual list and pay the fee on time. For an LLC, a $75 penalty is added to the fee. Source: leg.state.nv.us
RevokedThe company stayed in default, so its charter was revoked and it lost the right to do business. Revocation happens on the first day of the first anniversary of the month after the month the filing was due. Source: leg.state.nv.us

A status describes the registry filing only. It isn’t evidence of a license, tax compliance or reputation, and a record with the same name as a company you know may be a different business. More on statuses.

Nevada business name rules

An LLC name must include one of: Limited-Liability Company, Limited Liability Company, Limited Company, Limited, Ltd., L.L.C., L.C., LLC, LC.

The name must be 'distinguishable on the records of the Secretary of State' from every other business on file and from reserved names. Distinctive lettering, a mark, a trademark or a trade name doesn't make a name distinguishable. Names of revoked, merged-out or terminated entities become available again. In an LLC name, 'Co.' may be used for 'Company'. (NRS 86.171 (LLC); NRS 78.039 (corporations)) Source: leg.state.nv.us

When comparing names, Nevada disregards: distinctive lettering; a distinctive mark; trademark or trade name elements. Our name check applies these same rules.

Yes. The state can accept the articles if they come with the written, acknowledged consent of the business holding the name or reservation (NRS 86.171(2), 78.039(1)).

Reserving a name in Nevada

Nevada lets you reserve a name before you form the business for $25, held for 90 days.

Ask the Secretary of State to reserve the name for you.

$75 state fee

You fill in the Articles of Organization yourself and pay only the state. You’ll need a registered agent with a Nevada street address; that can be you if you have one.

Use a formation service

A service prepares and files the paperwork, and most can act as your registered agent and send compliance reminders. You still pay the state fee on top of their price, and the state still decides whether to accept your name.

Keeping a Nevada LLC in good standing

Annual List of Managers or Managing Members, with State Business License renewal: $350. Due by the last day of the LLC's formation anniversary month each year (or of an alternative due date it chose). Late fee: $75. Source: leg.state.nv.us

Nevada has no state income tax on LLCs, but every business pays an annual state business license fee: $200 for most entities and $500 for corporations (NRS 76.100). The Commerce Tax applies to businesses whose Nevada gross revenue exceeds $4,000,000 in a taxable year (NRS 363C).

The $350 is the $150 annual list fee (NRS 86.263(4)(b)) plus the $200 business license (NRS 76.100). Filing late puts the LLC in default with a $75 penalty (NRS 86.272(3)), and its charter is revoked if the default continues (NRS 86.274).

Good to know about Nevada

  • Corporations pay a $500 state business license instead of $200, and their formation fee rises with the value of authorized shares, up to $35,000. Source: leg.state.nv.us
